Welcome to Clarix Tech Labs LLP ("Clarix", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website (https://clarix.tech and https://clarix.in), software artifacts, engineering services, diagnostic Clarity Sprints, and technical workflows (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access the website or use our Services.

1. Services & Engagement Structure

Clarix provides on-demand systems and AI engineering, operational architecture diagnostics, custom workflow engine builds, and white-label infrastructure setups.

  • The Clarity Sprint: A structured 10-to-14-day diagnostic evaluation delivering architectural blueprints, system maps, leverage analyses, and a 90-day execution roadmap.
  • Dedicated Engineering Pods: Senior technical architects and engineers working directly with client teams to design, build, and deploy custom production pipelines.
  • Introductory Free Build Offer: When agreed in writing, Clarix provides engineering labor for the client's first production automated pipeline free of labor fees. The client remains directly responsible for all underlying third-party cloud, hosting, and API billing (e.g., OpenAI, Anthropic, AWS, Vercel, Supabase) incurred during development and execution.

2. Intellectual Property & Work Product Ownership

Client Ownership: Unless otherwise agreed in a separate Statement of Work (SOW), upon full payment of applicable fees (or completion of the free tier build), all custom code, workflows, automation scripts, and documentation specifically created for the Client ("Work Product") belong 100% to the Client.

Pre-Existing IP & Frameworks: Clarix retains ownership of its pre-existing proprietary frameworks, boilerplates, internal design token systems, and general architectural patterns developed prior to or independently of the client engagement. Clarix grants the Client a perpetual, non-exclusive, royalty-free license to use and modify any pre-existing components included in the Work Product.

3. Client Responsibilities & Data Access

Access & Credentials: The Client agrees to provide timely access to necessary systems, third-party APIs, database schemas, and stakeholder interviews required for Clarix to perform the Services.

Data Confidentiality: Clarix treats all client business data, workflows, and proprietary information as strictly confidential. Clarix does not sell, rent, or monetize client data.

4. Payment Terms & Infrastructure Billing

Sprint & Pod Retainers: Clarity Sprints and Dedicated Pod retainers are billed in accordance with the executed SOW or proposal.

Third-Party Infrastructure: The Client is solely responsible for accounts and billing associated with third-party providers (including LLM token usage, cloud hosting, and database instances). Clarix does not add markups or hidden fees to client cloud usage.

5. Warranties & Limitation of Liability

As-Is Delivery: Services and deliverables are provided on an "as is" and "as available" basis. Clarix makes no warranties that automated workflows will prevent all operational errors or third-party API outages.

Limitation of Liability: To the maximum extent permitted by applicable law, Clarix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities. Total liability for any claim shall not exceed the total fees paid by the Client to Clarix in the three (3) months preceding the claim.

6. Termination

Either party may terminate an ongoing retainer engagement with 30 days' written notice, subject to the terms of the applicable SOW. Upon termination, Clarix will securely hand over all completed work product, credentials, and documentation to the Client.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
